ANY AND ALL LIABILITY WITH RESPECT TO ANY DAMAGES OR CLAIMS ARISING FROM OR

These Terms are a contractual obligation made in, and to be construed and
enforced in accordance with, the laws in effect in the State of New York,
without giving effect to its conflict of laws principles. Any action to
enforce these Terms must be brought solely in the applicable court presiding
in the State of New York, and both parties expressly agree to be subject to
the exclusive jurisdiction of such courts. 8. ENTIRE AGREEMENT
These Terms and our Privacy Policy, represent the entire agreement between
you and us with respect to use of the Site and the Content, products and
services available on or through the Site, and supersede all prior or
contemporaneous communications and proposals, whether electronic, oral, or
written between you and us with respect to the above. If any part of these
Terms is determined by a court of competent jurisdiction to be invalid or
unenforceable pursuant to applicable law, then the invalid or unenforceable
provision will be deemed superseded by a valid, enforceable provision that
most closely matches the intent of the original provision,
